Special Purpose Acquisition Companies (SPACs) are formed for purposes of merging with or acquiring companies. A few days ago, a high profile case brought by The Serious Fraud Office (SFO) against three senior executives of Barclays Bank charged with conspiracy to commit fraud and providing unlawful financial assistance, ended in the acquittal of all three defendants.

I am indebted to Kevin La Croix for his excellent blog on a High Court judgment handed down in January 2020 in Re Systems Building Services Group Limited (Systems) the transcript of which can be found here.
